Introduction
Tiller AI Ltd ("Tiller AI", "Company", "we", "our", "us")
These Terms of Service ("Terms", "Terms of Service") govern your use of our web pages located at www.gotiller.com and our application located at app.gotiller.com.
Our Privacy Policy also governs your use of our Service and explains how we collect, safeguard and disclose information that results from your use of our web pages.
Your agreement with us includes these Terms and our Privacy Policy ("Agreements"). You acknowledge that you have read and understood Agreements, and agree to be bound by them.
If you do not agree with (or cannot comply with) Agreements, then you may not use the Service, but please let us know by emailing at hello@gotiller.com so we can try to find a solution. These Terms apply to all visitors, users and others who wish to access or use Service.
Company Information
Tiller AI Ltd is a company registered in England and Wales under company number 15236382, with its registered office address at 124 City Road, London, England, EC1V 2NX.
Customer Data
"Customer Data" means any information, data, or content, including personal data (as defined in the Data Protection Act 2018 and UK GDPR), that is provided, input, uploaded, or otherwise made available by the Customer (or by users authorised by the Customer) to the Company in connection with the use of the Services. This includes, but is not limited to, names, contact details, billing information, communications, documents, and any other data that can be reasonably linked to the Customer or its end users.
Customer Data does not include aggregated, anonymised, or de-identified data collected or generated by the Company, provided such data cannot be used to identify the Customer or any individual.
The Customer retains all rights, title, and interest in and to the Customer Data. The Company shall only process Customer Data on behalf of the Customer and in accordance with the applicable data protection laws and the terms of the Company’s Privacy Policy and Data Processing Agreement (where applicable).
The Services
Subject to your compliance with the terms and conditions of this Agreement, Tiller hereby grants to you a non-exclusive, non-sublicensable, revocable and non-transferable right to access and use the Services during the subscription term of this Agreement solely for your internal business purposes and pursuant to the Documentation, including any restrictions designated on an applicable Order Form.
When you register for an account, you will be asked to provide us with certain information about yourself, such as your name, email address, or other contact information. You agree that the information you provide to Tiller is accurate, complete, and not misleading and that you will keep it accurate and up-to-date at all times. If you choose, or are provided with, a user name, password, or any other piece of information as part of Tiller's security procedures, you must treat such information as confidential, and you must not disclose it to any third party. You also acknowledge and agree not to provide any third party with access to the Services or portions thereof using your user name, password, or other security information. Notwithstanding the foregoing, you may authorise as Permitted Users certain third parties that have integrations with Tiller to access your Customer Data (and/or to upload additional data on your behalf, which data will be treated as Customer Data hereunder). You acknowledge and agree that:
any such authorisation by you will be deemed to grant Tiller permission to provide such third parties with access to your Customer Data within the scope of your authorisation,
any Customer Data submitted, provided, uploaded, or transferred to Tiller by such third parties on your behalf may be used by Tiller as contemplated herein.
If you believe that your account is no longer secure, then you must immediately notify Tiller at hello@gotiller.com.
Data Security and Privacy
Tiller has implemented and will maintain technical, organisational, and administrative systems, policies, and procedures designed to ensure the security, integrity, and confidentiality of Customer Data and to mitigate the risk of unauthorised access to or use of Customer Data. Tiller will notify you, according to the timeframes prescribed under applicable law, if it becomes aware of unauthorised access to Customer Data. Tiller will not access, disclose, view or process Customer Data except (a) as provided for in this Agreement or in Tiller's privacy policy ("Privacy Policy"), (b) as authorised or instructed by you in writing, (c) as required to perform its obligations under this Agreement, or (d) as required by applicable law. Tiller has no other obligations or liability with respect to any loss, alteration, destruction, damage, corruption, or recovery of Customer Data.
While using the Services, you or your Permitted Users may transfer to Tiller certain Customer Data containing personal information that, individually or in combination, does or can identify a specific individual or by or from which a specific individual may be identified, contacted, or located ("Personal Information"). The terms of the Tiller Data Processing Addendum ("DPA") are incorporated herein by reference and apply to the processing of Personal Information. Tiller processes all personal data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.
Communications
By creating an Account on our Service, you agree to subscribe to newsletters, marketing or promotional materials and other information we may send. However, you may opt out of receiving any, or all, of these communications from us by following the unsubscribe link or by emailing at hello@gotiller.com.
Purchases
If you wish to purchase any product or service made available through Service ("Purchase"), you may be asked to supply certain information relevant to your Purchase including, without limitation, your credit card number, the expiration date of your credit card, your billing address, and your shipping information.
You represent and warrant that: (i) you have the legal right to use any credit card(s) or other payment method(s) in connection with any Purchase; and that (ii) the information you supply to us is true, correct and complete.
We may employ the use of third party services for the purpose of facilitating payment and the completion of Purchases. By submitting your information, you grant us the right to provide the information to these third parties subject to our Privacy Policy.
We reserve the right to refuse or cancel your order at any time for reasons including but not limited to: product or service availability, errors in the description or price of the product or service, error in your order or other reasons.
We reserve the right to refuse or cancel your order if fraud or an unauthorised or illegal transaction is suspected.
Subscriptions
Some parts of Service are billed on a subscription basis ("Subscription(s)"). You will be billed in advance on a recurring and periodic basis ("Billing Cycle"). Billing cycles are custom for each account.
At the end of each Billing Cycle, your Subscription will automatically renew under the exact same conditions unless you cancel it or Tiller AI Ltd cancels it. You may cancel your Subscription renewal by contacting Tiller AI Ltd customer support team.
In the instance where the Order Form has conflicting Subscription terms the Order Form will take precedence.
A valid payment method, including credit card, is required to process the payment for your subscription. You shall provide Tiller AI Ltd with accurate and complete billing information including full name, address, state, postal code, telephone number, and a valid payment method information. By submitting such payment information, you automatically authorise Tiller AI Ltd to charge all Subscription fees incurred through your account to any such payment instruments.
Should automatic billing fail to occur for any reason, Tiller AI Ltd will issue an electronic invoice indicating that you must proceed manually, within a certain deadline date, with the full payment corresponding to the billing period as indicated on the invoice.
Fee Changes
Tiller AI Ltd, in its sole discretion and at any time, may modify Subscription fees for the Subscriptions. Any Subscription fee change will become effective at the end of the then-current Billing Cycle.
Tiller AI Ltd will provide you with a reasonable prior notice of any change in Subscription fees to give you an opportunity to terminate your Subscription before such change becomes effective.
Your continued use of Service after Subscription fee change comes into effect constitutes your agreement to pay the modified Subscription fee amount.
Refunds
Except when required by law, paid Subscription fees are non-refundable.
Consumer Rights
If you are contracting as a consumer, you have certain rights under UK consumer protection laws, including the Consumer Rights Act 2015 and the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. Nothing in these Terms affects your statutory rights as a consumer.
Prohibited Uses
You may use Service only for lawful purposes and in accordance with Terms. You agree not to use Service:
In any way that violates any applicable national or international law or regulation.
For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content or otherwise.
To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail", "chain letter," "spam," or any other similar solicitation.
To impersonate or attempt to impersonate Company, a Company employee, another user, or any other person or entity.
In any way that infringes upon the rights of others, or in any way is illegal, threatening, fraudulent, or harmful, or in connection with any unlawful, illegal, fraudulent, or harmful purpose or activity.
To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of Service, or which, as determined by us, may harm or offend Company or users of Service or expose them to liability.
Additionally, you agree not to:
Use Service in any manner that could disable, overburden, damage, or impair Service or interfere with any other party's use of Service, including their ability to engage in real time activities through Service.
Use any robot, spider, or other automatic device, process, or means to access the non API portions of Service for any purpose, including monitoring or copying any of the material on Service.
Use any manual process to monitor or copy any of the material on Service or for any other unauthorised purpose without our prior written consent.
Use any device, software, or routine that interferes with the proper working of Service.
Introduce any viruses, trojan horses, worms, logic bombs, or other material which is malicious or technologically harmful.
Attempt to gain unauthorised access to, interfere with, damage, or disrupt any parts of Service, the server on which Service is stored, or any server, computer, or database connected to Service.
Attack Service via a denial-of-service attack or a distributed denial-of-service attack.
Take any action that may damage or falsify Company ratings.
Otherwise attempt to interfere with the proper working of Service.
Analytics
We may use third-party Service Providers to monitor and analyse the use of our Service.
No Use By Minors
Service is intended only for access and use by individuals at least eighteen (18) years old. By accessing or using any of Tiller AI Ltd, you warrant and represent that you are at least eighteen (18) years of age and with the full authority, right, and capacity to enter into this agreement and abide by all of the terms and conditions of Terms. If you are not at least eighteen (18) years old, you are prohibited from both the access and usage of Service.
Accounts
When you create an account with us, you guarantee that you are or above the age of 18, and that the information you provide us is accurate, complete, and current at all times. Inaccurate, incomplete, or obsolete information may result in the immediate termination of your account on Service.
You are responsible for maintaining the confidentiality of your account and password, including but not limited to the restriction of access to your computer and/or account. You agree to accept responsibility for any and all activities or actions that occur under your account and/or password, whether your password is with our Service or a third-party service. You must notify us immediately upon becoming aware of any breach of security or unauthorised use of your account.
You may not use as a username the name of another person or entity or that is not lawfully available for use, a name or trademark that is subject to any rights of another person or entity other than you, without appropriate authorization. You may not use as a username any name that is offensive, vulgar or obscene.
We reserve the right to refuse service, terminate accounts, remove or edit content, or cancel orders at our sole discretion.
Intellectual Property
Service and its original content (excluding content provided by users), features and functionality are and will remain the exclusive property of Tiller AI Ltd and its licensors. Service is protected by copyright, trademark, and other laws of the United Kingdom. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Tiller AI Ltd.
Error Reporting and Feedback
You may provide us either directly at hello@gotiller.com or via third party sites and tools with information and feedback concerning errors, suggestions for improvements, ideas, problems, complaints, and other matters related to our Service ("Feedback"). You acknowledge and agree that:
(i) you shall not retain, acquire or assert any intellectual property right or other right, title or interest in or to the Feedback;
(ii) Tiller AI Ltd may have development ideas similar to the Feedback;
(iii) Feedback does not contain confidential information or proprietary information from you or any third party; and
(iv) Tiller AI Ltd is not under any obligation of confidentiality with respect to the Feedback. In the event the transfer of the ownership to the Feedback is not possible due to applicable mandatory laws, you grant Tiller AI Ltd and its affiliates an exclusive, transferable, irrevocable, free-of-charge, sub-licensable, unlimited and perpetual right to use (including copy, modify, create derivative works, publish, distribute and commercialise) Feedback in any manner and for any purpose.
Links To Other Web Sites
Our Service may contain links to third party web sites or services that are not owned or controlled by Tiller AI Ltd.
Tiller AI Ltd has no control over, and assumes no responsibility for the content, privacy policies, or practices of any third party web sites or services. We do not warrant the offerings of any of these entities/individuals or their websites.
You acknowledge and agree that Tiller AI Ltd shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such third party web sites or services.
We strongly advise you to read the terms of service and privacy policies of any third party web sites or services that you visit.
Limitation of Liability
Subject to the exceptions listed below, neither party shall be liable to the other party, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, for any indirect or consequential loss arising under or in connection with this Agreement.
Subject to the exceptions listed below, Tiller AI Ltd's total liability to the Customer, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, arising under or in connection with this Agreement shall be limited to the total amount paid by the Customer for the Services during the 12 months preceding the date on which the claim arose.
The Customer shall defend, indemnify and hold harmless Tiller AI Ltd against claims, actions, proceedings, losses, damages, expenses and costs (including without limitation court costs and reasonable legal costs) arising out of or in connection with the Customer's use of the Services in breach of this Agreement, provided that:
the Customer is given prompt notice of any such claim;
Tiller AI Ltd provides reasonable co-operation to the Customer in the defence and settlement of such claim, at the Customer's expense; and
the Customer is given sole authority to defend or settle the claim.
Nothing in this Agreement shall limit or exclude either party's liability for:
death or personal injury caused by its negligence, or the negligence of its employees, agents or subcontractors;
fraud or fraudulent misrepresentation;
breach of the terms implied by section 2 of the Supply of Goods and Services Act 1982;
any other liability which cannot be limited or excluded by applicable law.
